These Terms of Service ("Terms") govern your access to and use of the iQcadence platform and website (the "Service") provided by iQcadence ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that your account information remains current and accurate

3. Use of the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term. You agree not to:

• Sublicense, sell, resell, or transfer the Service to any third party
• Modify, adapt, or create derivative works based on the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malicious code or infringing material
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems

4. Subscription and Payment

The Service is offered under various subscription tiers. By selecting a paid plan, you agree to:

• Pay the applicable subscription fees as described on our pricing page
• Provide valid payment information and authorize recurring charges
• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated in these Terms

We reserve the right to modify pricing with 30 days' prior written notice. Price changes will take effect at the start of your next billing cycle.

5. Cancellation and Termination

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

• Your access will continue until the end of the current billing period
• No refunds will be issued for partial billing periods
• Your data will be retained for 30 days, after which it may be deleted
• You may request a data export prior to account deletion

We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if required by law.

6. Your Data

You retain all rights to the data you input into the Service ("Customer Data"). You grant us a limited license to use your Customer Data solely to provide and improve the Service. We will not access your Customer Data except as necessary to provide support or as directed by you.

7. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, and other content, is owned by iQcadence and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

8. Limitation of Liability

To the maximum extent permitted by law, iQcadence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total liability shall not exceed the fees paid by you during the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Health scores and recommendations are informational tools and should not be the sole basis for business decisions.

10. Indemnification

You agree to indemnify and hold iQcadence harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
